Translating Codes from Manitoba to California

      I only arrived Tuesday, so I am still learning the process and the system. I finally found the website with the document examples last night. I will be using this thread to document and share the resources and information I find to translate the documents to the California Jurisdiction.

      Generally with commercial codes based on the UCC, there is a straightforward mapping between the UCC and statutes a jurisdiction creates. So, THE SECURITIES TRANSFER ACT c. S60 is based off of U.C.C. – ARTICLE 8 – INVESTMENT SECURITIES, which is equivalent to California’s Commercial Code – COM DIVISION 8. INVESTMENT SECURITIES [8101 – 8603].

      California makes it kind of easy to translate from UCC to it’s Commercial Code, by using the same indexing numbers between the two codes.

However, a person who knows that a representative has transferred a financial asset or interest therein in a transaction that is, or whose proceeds are being used, for the individual benefit of the representative or otherwise in breach of duty has notice of an adverse claim.
