I only arrived Tuesday, so I am still learning the process and the system. I finally found the website with the document examples last night. I will be using this thread to document and share the resources and information I find to translate the documents to the California Jurisdiction.

Generally with commercial codes based on the UCC, there is a straightforward mapping between the UCC and statutes a jurisdiction creates. So, THE SECURITIES TRANSFER ACT c. S60 is based off of U.C.C. – ARTICLE 8 – INVESTMENT SECURITIES, which is equivalent to California’s Commercial Code – COM DIVISION 8. INVESTMENT SECURITIES [8101 – 8603].

California makes it kind of easy to translate from UCC to it’s Commercial Code, by using the same indexing numbers between the two codes.

Manitoba THE SECURITIES TRANSFER ACT S60 19 (2) ==> California Commercial Code DIVISION 8. INVESTMENT SECURITIES 8105.
      (b)

Having knowledge that a financial asset or interest therein is or has been transferred by a representative imposes no duty of inquiry into the rightfulness of a transaction and is not notice of an adverse claim. However, a person who knows that a representative has transferred a financial asset or interest therein in a transaction that is, or whose proceeds are being used, for the individual benefit of the representative or otherwise in breach of duty has notice of an adverse claim.

Could you post the web site that has the examples of the documents. I’d really appreciate it.
          Thanks Carla
